Legal Counsel

Position Overview:

Reporting to the Vice President, Strategy and Governance, the Legal Counsel will oversee and support Buttcon’s diverse legal operations. In this role, you will provide expert guidance and representation for our ongoing projects, ensuring compliance with laws and navigating diverse legal challenges. As Legal Counsel, you will offer strategic legal, regulatory, and compliance advice across corporate, employment, governance, procurement, and risk management matters. This is a broad, high-impact role that touches all legal aspects of the company, with a particular focus on the following responsibilities:

  • Provide guidance on various contractual matters throughout all phases of the project.
  • Provide legal support to all aspects of the company’s business, including project procurement, contract management, construction liens, bonding, insurance, construction claims management, corporate, employment and human rights matters.
  • Act as a liaison between project leaders and external legal counsel for complex claims and litigation.
  • Instruct external counsel, and interact with various stakeholders, providing legal advice and participating in strategic discussions.
  • Management of various litigation files and developing and implementing strategies and solutions to mitigate risks.
  • Collaborate with internal and external stakeholders, including public and private clients, partners, subcontractors, and suppliers.
  • Contribute to establishing appropriate transaction structures and will effectively draft, negotiate and review key commercial contracts, coordinating due diligence processes and negotiating transaction documentation.
  • Communicate findings effectively and provide actionable recommendations to project teams and senior management.
  • Review contract provisions related to claims to ensure compliance.
  • Stay updated on industry trends and legal developments, providing insights to management to inform decision-making.
  • Perform additional duties as assigned to support the legal and risk management functions.

  • Proficient in drafting legal documents, conducting risk assessments, and reviewing contracts.

Qualification Requirements

Qualifications:

  • Juris Doctor or Bachelor of Laws degree from an accredited Canadian university, with membership in good standing with the Law Society of Ontario.
  • 2-3 years of post call experience. Experience in construction and/or commercial law, gained in a major corporation or law firm, is an asset.
  • Experience negotiating and drafting construction contracts, RFP documents, advising on project risk and taking a leadership role on construction projects will be required.
  • Experience with construction litigation management and project procurement is an asset.
  • Knowledge of standard CCDC/CCA construction contracts, insurance, surety, and regulatory compliance is highly desirable.
  • Strong legal research and drafting abilities.
  • Strong verbal reasoning skills with the ability to interpret the precise meaning of written documents, including contracts, legislation, and case law.
  • You are self-motivated, efficient and a “doer” and you have the ability to juggle competing projects and interests.
